Chapter 1. General Provision
 
Article 1 (Objectives) The objectives of the United are to advocate the sovereignty and autonomy of persons with disabilities and to realize full participation and equality of persons with disabilities as a human being who has dignity and value through joint efforts in Asia and the Pacific region.
 
Article 2 (Name) The name of the United shall be 'AP DPO United'.
 
Article 3 (Location of the Head Office and Branches) The headquarters of the United shall be located in Bangkok, Thailand and liaison offices of the United shall be located in sub-regional and national organizations.
 
Article 4 (Projects and Activities) The United shall carry out following projects and activities to fulfill the objectives of Article

   1. Project for full participation and equality with others of persons with disabilities.
   2. Activity to eradicate political, economic, social and cultural prejudice and discrimination against persons with disabilities.
   3. Joint activity against human rights violation and on sovereignty movement of persons with disabilities.
   4. Activity to implement the UN CRPD in Asia and the Pacific region.
   5. Implementation and evaluation of the Asian and Pacific Decades of Persons with Disabilities for the development of the international society.
   6. Project to support mutual cooperation, coordination and exchange among organizations of persons with disabilities in Asia and the Pacific.
   7. Research and study to implement projects and activities mentioned in Article 4.
   8. International cooperation project to build capacity and to support social participation of persons with disabilities.
   9. Resources development for activities and projects in Asia and the Pacific region.

Chapter 2. Membership

Article 5 (Member's Qualification)
① A self-help organization of persons with disabilities only can be a full member of the United and a disability-related organization can be joined in as an associate member.
② The qualification of a full member may be as follows.
   1. Self-help organization of persons with disabilities representing disability type, disability cause and gender.
   2. Organization who has a disabled president and disabled members, and half of members in decision making body are persons with disabilities.
   3.  National or regional-based organizations in each country.
③ Organizations in each country shall be joined in the United as the unified national organization or shall be joined in individually. If multiple organizations in one country would join in the United, each organization shall has its representative, but for a national representative meeting of the United, multiple organizations shall select or make one organization through cooperation.  
Article 5 (Member's Qualification)

Article 6 (Applications)
① Application of the membership shall be approved by the board and reported to the General Assembly.
② Application procedure and criteria of membership shall be decided with an additional provision.
 
Article 7 (Rights and Duty) Members shall have responsibility and duty as below.
   1. Members shall has the rights of voting, running for election and executing vote.
   2. Members should be observed constitution and additional provision, and matters decided by several meetings. 
   3. Members shall has the rights to participate in all projects and activities, and has the duty to develop the United.
 
Article 8 (Withdrawal and Termination of Membership)
① A member who wants to withdraw may withdraw from the United by submitting a letter of resignation.
② A member may be expelled due to damaging United's image or violating provisions with a disciplinary action.
③ The procedure of disciplinary action shall be decided by an additional provision.
④ A member who lost membership by withdrawal or by expulsion should not claim the return of assets including paid membership fee.

Chapter 3. Sub-Regional Organization
 
Article 9 (Sub-Regional Organization) The United shall create sub-regional organizations to fulfill objectives of Article 1 and conduct projects and activities of Article 4.
 
Article 10 (Composition and Operation of Sub-Regional Organization) Sub-regional organizations of the United shall be composed through volunteer participation of member organizations in each region, but matters about procedure and operation shall be decided by an additional provision.
 
Article 11 (Responsibility and Duty of Sub-Regional Organization) Sub-regional organizations of the United may has rights and duty as below.
   1. One representative of each sub-regional organization shall participate in the General Assembly and be entitled to vote for United's projects and activities.
   2. Sub-regional organizations shall execute major activities meeting regional situation.

Chapter 4. Board Members
 
Article 12 (Types and Numbers of Board Members) The United shall has board members as below.
   1. One president
   2. One vice-president
   3. Five sub-regional representatives
   4. Within 10 general directors
   5. Two auditors
 
Article 13 (Election and Qualification of Board Members) Election process of board members shall be as below.
   1. The president shall be recommended by the board of directors and shall be approved by the General Assembly.
   2. Sub-regional representative shall be elected in a sub-regional assembly.
   3. Vice-president shall be elected by sub-regional representatives' voting among sub-regional representatives and shall be approved by the General Assembly.
   4. Although the president who is in his/her term would disqualify as the president of his/her organization, the president shall maintain his/her presidency of the United. But in the case of a general director, the qualification of a general director shall be succeed.
   5. General directors shall be composed of directors recommended by the board of directors and shall be approved by the General Assembly.
   6. Auditor shall be elected in the General Assembly.
 
Article 14 (Term of Board Members) Term of Board Members of the United is as below.
  1. The president shall be elected to five-year term and serve consecutive terms. But if remaining term of former president would be below one year, vice-president shall be acted as the president. In the case of more than one year of remaining term, vice president shall be acted as the president by next General Assembly. And new term of the president shall be started when new president would be elected at the General Assembly.
  2. Directors shall be elected with three-year term and shall not serve consecutive terms.
  3. Auditors shall be elected with three-year term and shall not serve consecutive terms.
  4. When the position of a director and an auditor would be vacant, new director and auditor shall be elected in a by-election at the next General Assembly and shall fulfill the remaining term.
  5. If the termination day of term would be before the General Assembly, board members in office shall perform their duty before electing new board members.
 
Article 15 (Duty of Board Members)
① The president shall represent the United, shall supervise matters of the United and shall be the chairman of meetings.
② Directors (including the president and sub-regional representatives) shall comprise the board of directors and shall deliberate and decide matters that are under the authority of the board of directors.
③ Auditors shall audit works of the United and shall report the result of auditing to the General Assembly. And auditor shall participate in the General Assembly and the board of directors and may have a rights to speak, but have no voting rights.
 
Article 16 (Treatment of Board Members) Board members of the United shall be honorary position and shall be provided actual expense for their activities within the budget.

Chapter 5. Meetings
 
Article 17 (Types of Meetings)
① Meetings shall be classified into General Assembly, Regional Assembly and Board of Directors.
② The General Assembly shall be classified into regular and extraordinary General Assemblies.
 
Article 18 (Composition of General Assembly) The General Assembly of the United shall comprise of one representative of each full and associate members of the United.
 
Article 19 (Voting of General Assembly) The General Assembly shall decide the following matters.
   1. To approve revising constitution
   2. To approve dissolution of the United
   3. To approve election of directors
   4. To approve annual action plan and annual operating budget & closing accounts
   5. To approve acquisition and disposal of basic assets
   6. To approve issues proposed by the president to discuss at the General Assembly
   7. To approve sending United's representative to the UN ESCAP and a body to implement the Asian and Pacific Decade of Persons with Disabilities
   8. To approve other matters under the authority of the General Assembly
 
Article 20 (Summoning General Assembly) Regular General Assembly shall be convened once a year and shall be notified to members two months before the General Assembly.
 
Article 21 (Composition of Board) Board of directors shall be composed of directors, and the president of the United shall convene and shall preside the board of directors.
 
Article 22 (Voting of Board) Board of directors shall decide the following matters.
   1. Establishing and revising relevant provisions
   2. Planning and revising businesses
   3. Managing and arranging assets
   4. Matters trusted by the General Assembly
   5. Recommending and appointing members of each committee
   6. Approving application and withdrawal of members
 
Article 23 (Documentary Resolution) The president shall discuss urgent matters that should be discussed at the board of directors by the way of documentary resolution. In this case, the president should report the result of discussion to the next board of directors.
 
Article 24 (Opening meetings and quorum)
① The General Assembly shall be opened with participation of more than one-thirds of members and all matters shall be decided by a simple majority vote of participated members who are in favor.
② Board of directors shall be opened with participation of more than half of members and all matters shall be decided by a simple majority vote of participated members who are in favor.
③ If members would be absent at meeting due to unavoidable business, he or she shall execute their rights by a representative with a letter of attorney.

Chapter 6. Finance and Accounting
 
Article 25 (Finance)
① The United's income shall be membership fees, donations, contributions and other incomes.
② In the event of temporary cash flow problem during conducting projects, the United shall take temporary loan with the decision of board of directors. But the temporary loan should be repaid within the fiscal year.
 
Article 26 (Financial Year)
① The financial year of the United shall run from 1st January to the 31st December every year.
 
Article 27 (Surplus management) Surplus in each fiscal year shall be managed in the following order.
   1. Reserve undisposed accumulated deficit carried over to subsequent year
   2. Carry over to project in subsequent year
   3. Incorporate into basic assets

Chapter 7. Secretariat
 
Article 28 (Secretariat)
① Secretariat and staffs shall be set up to arrange and manage works trusted by the General Assembly and businesses of the United.
② Secretary general shall be employed to take charge of various matters of the  secretariat and shall be appointed by the president.
③ Organization, operation and wages of the secretariat shall be decided by an additional provision.

Chapter 8. Constitution Amendment and Dissolution
 
Article 29 (Constitution Amendment) This constitution may be amended at the General Assembly with more than two-thirds of the votes cast who are in favor of the proposed amendment.
 
Article 30 (Dissolution) In the event of dissolution of the United, deliberation of the board of directors and decision of the General Assembly should be processed.
 
Article 31 (Disposal of Remaining Assets) In the event of dissolution of the United, remaining funds or other assets owned by the United shall be given an international agency with similar objectives of the United.

By Laws
 
Article 1 (Entering into force) This constitution will enter into force from the day of approval by the General Assembly.

Article 2 (Transitional Measures) Considering articles and chapters of this constitution, all process related with a preparatory committee as well as other matters such as appointing staffs and electing the president, auditor and director which will be conducting before the foundation of the AP DPO United shall be followed by provisions of this constitution.

Article 3 (Applicable Context) Aspects which are not stipulated in the current constitution will be dealt with in accordance with customary procedure.
